SHARED SERVICES CENTER (SSC) OVERVIEW
Melodious Horse Holdings, LLC operates a centralized Shared Services Center (“SSC”) at the parent level to support governance, financial administration, compliance, data aggregation, and intellectual property capture across all operating subsidiaries.
The SSC centralizes functions that are non‑operational but critical to capital discipline and risk control, including:
Financial administration and reporting
Net Distributable Cash Flow (NDCF) calculation and application
Legal, compliance, and regulatory coordination
Data aggregation and performance monitoring
Intellectual property documentation and custody
Operating subsidiaries execute asset‑level activities but do not control these functions.
The SSC operates under the authority of the Manager and serves as the administrative mechanism through which NDCF is calculated and distribution priorities are applied in accordance with the Subscription Agreements.
Operational and financial data from subsidiaries is consolidated through the SSC to support centralized oversight and capital allocation decisions. Data accuracy depends on timely and accurate reporting from operating entities, and delays or errors may affect real‑time visibility.
The centralization of administrative and financial functions within the SSC creates efficiencies but also represents a single operational focal point. A disruption to SSC operations could impact administrative support across the platform, though operating subsidiaries remain legally distinct.
The SSC acts as the custodian of proprietary information, trade secrets, and internal operating data. Access is restricted and provided only in accordance with confidentiality and non‑circumvention arrangements. Detailed SSC processes are not publicly disclosed.
