A Landmark Event is a material, non‑dilutive transaction, such as:
A federal or sovereign program award
A Tier‑1 intellectual‑property disposition
A large‑scale strategic procurement
These events are not routine operating revenues and are not assumed in baseline projections.
Net proceeds from a Landmark Event are applied through the existing Net Distributable Cash Flow framework with accelerated priority
Principal Recovery
Thereafter, 100% of remaining net proceeds are applied to the return of the $30,000,000,000 capital contribution until fully recovered.
Landmark proceeds bypass the standard preferred return cadence to maximize recovery velocity.
In connection with the successful closing of a Landmark Event, a one‑time procurement fee equal to 4% of net proceeds may be allocated to the Founder as an operating expense.
Following full recovery of the $30,000,000,000 principal, the Omnibus participant retains its 18% residual interest in ongoing Net Distributable Cash Flow and terminal value. Landmark Events do not alter residual economics.
